1 License Grant

Subject to payment of the applicable license fee and compliance with these terms, ALEC Codec grants you a non-exclusive, non-transferable license to use the ALEC software library in your products and services.

This license permits you to:

Use ALEC in proprietary/closed-source applications
Distribute ALEC as part of your compiled products
Use ALEC in commercial SaaS offerings without source disclosure
Create derivative works for internal use

This license does not permit you to:

Sublicense, resell, or redistribute ALEC as a standalone library
Transfer this license to another entity without written consent
Remove or alter copyright notices in the source code

2 Deployment

All commercial licenses include unlimited device deployment. License tiers are based on company annual revenue:

Licensees are responsible for selecting the appropriate tier based on their company's annual revenue. ALEC reserves the right to audit tier eligibility.

Definitions

Response Time: First substantive response, not an automated acknowledgment.
Business Days: Monday to Friday, 9:00–18:00 CET. Excludes Swiss public holidays.
Critical Incident: Codec fails to compile, data corruption, or security vulnerability.

What's NOT Included

24/7 or weekend support
Custom development (except Enterprise, billed at €150/hour)
Debugging of customer firmware code
Support for unsupported versions (older than 2 years)
On-site training or consulting

4 Payment & Renewal

Billing

Licenses are billed annually
Payment due upon invoice
Prices in EUR, excluding VAT
Invoice provided for accounting

Renewal

Licenses auto-renew annually
Cancel with 30 days notice before renewal
No prorated refunds for mid-term cancellation
Renewal at then-current pricing

Refund Policy

We offer a 30-day refund if ALEC doesn't work for your use case. Contact us within 30 days of purchase for a full refund, no questions asked.

5 Warranty & Liability

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL ALEC CODEC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Liability Cap: Our total liability under this agreement shall not exceed the license fees paid by you in the 12 months preceding the claim.

6 Termination

This license may be terminated:

By you: At any time with 30 days written notice
By us: If you breach these terms and fail to cure within 30 days of notice
Automatically: Upon non-payment of renewal fees

Upon termination:

Your right to use ALEC in new products ceases
Existing deployed products may continue to use the version installed at termination
No new updates or support will be provided

7 General Provisions

Governing Law

This agreement is governed by the laws of Switzerland, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Zurich, Switzerland.

Entire Agreement

This agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

Amendments

We may update these terms from time to time. Changes apply to new purchases and renewals after the update date.

Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.
